Guidance on completing Form OS IN01

We have noticed that customers are having problems completing form OS IN01 which is causing a significant proportion of forms to be rejected at least once. The information below is aimed at helping you get it right first time and provides guidance on the most common reasons for the forms being rejected. Please read this information before you send your form OS IN01 to Companies House:

  • Section B5 - Accounting requirements (not required to be completed by EEA companies)

    The details of accounting requirements under parent law must be shown in Section B5 of the form if you are registering a non-EEA company that is required to prepare, audit and disclose accounting documents under parent law.

    • The period shown for which the company is required to prepare accounts by parent law must cover a 12 month period (e.g. from 01/04 to 31/03).
    • The number of months allowed for disclosure under parent law must be provided.
  • Section B6 - certification of translation of accounts

    If the company is required to file accounts disclosed under parent law with Form OSIN01 and the accounts are in a language other than English, an English translation is required.

    • A certified translation into English must be authenticated by a secretary, director, permanent representative, administrator, administrative receiver, receiver manager, receiver or liquidator.
    • Certifications authenticated by notaries, solicitors, other registries or translators are not acceptable.
  • Section C1 - certification of constitutional documents

    The certified copy of the constitutional documents must be certified by one of the people listed in Note 1 of Section C1 of the form. If the constitutional documents are in a language other than English, an English translation is required, certified by one of the people listed in Note 2 of Section C1 of the form.

    • Certifications authenticated by notaries, solicitors, other registries or translators are not acceptable.
  • Section C4 - information not included in the constitutional documents (not required to be completed by EEA companies)

    If the following information is not contained within the constitutional documents accompanying the form OSIN01, the relevant details must be included in Section C4:

    • Full address of principal place of business or registered office in the country of incorporation.
    • Objects of the company.
    • Amount of issued share capital (including the value).
  • Parts 4 and 6 - authority of secretary, director or permanent representative

    One box must be ticked to indicate the extent of authority and one box must be ticked to indicate whether the officer is authorised to act alone or jointly.

    • If the ‘limited’ box has been ticked, a brief description of the limits to the authority must be provided. If there is not sufficient space in the field provided on the form, the description can be provided on a separate sheet of A4 paper and attached to the form.
    • If the ‘jointly’ box has been ticked please provide the name(s) of the person(s) with whom the officer acts jointly. Full names of co-authorities must be provided; general comments such as ‘all other directors’ will result in the form being rejected.
  • Part 5 - Particulars of UK establishment

    This section must be completed in full, including the following information:

    • Name of the UK establishment.
    • Full address of the UK establishment (address must be in the UK).
    • Date the establishment opened (future dates are not acceptable).
    • Business carried on at the UK establishment.
  • Part 6 - Permanent representative

    This is a mandatory appointment. If this section is not completed the form will be rejected. The permanent representative does not have to be resident in the UK.

  • Part 7 - Person authorised to accept service

    If the company has any person(s) authorised to accept service of documents on behalf of the company in respect of its UK establishment their details must be shown in Part 7.

    • The address of the person authorised to accept service must be in the UK.
    • If there is no such person in the UK please tick the box in Part 7.
