Company Charges and Mortgages FAQs

Guidance on company mortgages and charges can be found in chapter 9 of GP3 Life of a company Part 2 - Event Driven Requirements.

What documents do I need to file to register a charge that was created on or after 6 April 2013?

Please note that the MR08, MR09, MR10 documents and their LLP equivalents may only be filed on paper as there is no electronic facility for these forms currently.

You must send a certified copy of the instrument with each form MR01/LL MR01, MR02/LLMR02, MR03/LLMR03. If there are multiple charging companies contained in an instrument, a certified copy of that instrument must accompany each MR01; eg 10 x MR01 forms must be accompanied by 10 x certified copy instruments.

If you are sending the MR10 / LL MR10, you must send a certified copy of one of the debentures in the series with the form.

Companies registered in England and Wales, Wales and Northern Ireland must send the original instrument with the form. Companies registered in Scotland must send a certified copy of the instrument.

Does the 21-day time limit include weekends and bank holidays?

Yes.

What is required for the short description on these forms?

Short descriptions only apply to forms MR01 / LL MR01, MR02 / LL MR02 and MR03 / LL MR03.

You need to submit only a short description of any land, ship, aircraft or intellectual property which is registered (or required to be registered) in the UK subject to a charge (not a floating charge) or fixed security included in the instrument.

If there are a number of plots of land, aircraft and/or ships, you can simply describe some of them in the text field and add a statement along the lines of, "for more details please refer to the instrument".

Companies House cannot provide more detailed advice on what should be included in the description. If you are uncertain about whether or not something should be included based on the legislation, you should take appropriate legal advice.

Who can sign the forms?

A person with an interest in the charge can sign the forms (this would include a person authorised to sign on behalf of a law firm or other agent representing the chargor or chargee).

Can I remove personal information from the copy of the instrument I send to Companies House?

You may redact (remove) certain personal information from the certified copy of the instrument before you send it to Companies House. The information you may redact is set out in section 859G of the legislation. Specifically, you may remove:

  • Personal information relating to an individual (other than the name of an individual)
  • The number or other identifier of a bank or securities’ account of a company or individual
  • A signature

What should I file to notify satisfaction of a charge?

If the debt for which the charge was given has been wholly or partly paid off, you should send form MR04 / LL MR04. This is regardless of whether the charge was originally created before, on or after 6 April 2013.

What should I file to notify that the property or undertaking has been released from the charge?

If part (or all) of the property or undertaking has been released from the charge, or no longer forms part of the company’s or LLP’s property, you should send form MR05 / LL MR05.

Which documents can I file electronically using WebFiling or Software filing?

You can file forms MR01 / LL MR01, MR02 / LL MR02, MR04 / LL MR04 and MR05 / LL MR05 electronically using either WebFiling or Software Filing. Electronic filing is the quickest, cheapest and most efficient way to file.

How do I file the certified copy of the instrument electronically?

You need to attach a PDF copy instrument to the electronic submission. PDFs will have a maximum file size of 10 MB. You should make sure that you send only a certified copy of the instrument as a PDF and not any associated documents.

What is the fee for registering a charge at Companies House?

To file form MR01 / LL MR01 or form MR02 / LL MR02 electronically via WebFiling or Software Filing, the fee is £10 and on paper the fee is £13.

Forms MR03 / LL MR03, MR08 / LL MR08, MR09 / LL MR09, MR10 / LL MR10 can only be filed on paper and the fee is £13.

Will it still be necessary to file Form 466 in Scotland?

Yes. This form, “Particulars of an instrument of alteration to a floating charge” will continue to apply to charges registered in Scotland.

Will you accept certified copies of the instrument that are in a colour other than black on white?

Yes, although Companies House’s image systems do not support colour at present and any coloured plans or images will be output in black and white. However, searchers will be able to request a copy of the original colour version of a deed which contains a plan which uses colour or where any coloured text in the deed has not been converted legibly for the image system. Such examples will be annotated to provide customers with instructions on how to request copies and they will be provided at no extra cost.

Will you accept certified copy charge instruments larger than A4?

Yes. Companies House will accept charge instruments which are larger than A4 and we will reduce them to A4 for storing on our image system. Instruments which are larger than A3 will be accepted but we will be unable to process them through our image-capture systems.

Should the copy charge instruments be bound?

We suggest that any certified-copy instruments in paper form are not bound to prevent damage to the information. CH staff will need to remove the binding to allow the information to be scanned for the public record.

Will Companies House continue to crown stamp the instrument if required?

Companies House no longer crown stamps the instrument. You should not send the original instrument to Companies House as we require a certified copy.
