Important Changes from 1 October 2012

Changes to Registrars fees

Following a review of our processes and services Companies House is reducing several fees from 1 October 2012.

For example the Company Appointment Report on WebCHeck will be free of charge. The report contains useful information including:

  • incorporation date and registered office address
  • key filing dates
  • company status details
  • company officers
  • and recent filing history

GOV.UK

GOV.UK is a new website that will bring together all government's services and information into one place. This autumn GOV.UK will replace Directgov and Businesslink, and in readiness these references and links have been removed from the Companies House website.

Dormant and subsidiary company exemptions

To enable companies to take advantage of exemptions in the European Accounting Directives from 1 October 2012:

  • dormant subsidiary companies will be exempt from preparing or filing accounts where they meet certain conditions and their parent company provides guarantee of all liabilities which the subsidiary is subject to at the end of the financial year.
  • subsidiary companies of any size may be exempt from having an audit of their accounts if their parent company provides a guarantee of all liabilities which the subsidiary is subject to at the end of the financial year.
  • when preparing accounts companies will be able to move between IFRS and UK GAAP every 5 years.

This applies to companies with accounting periods ending on or after 1 October 2012 and further information is available from our Life of a Company guidance.

In addition the conditions for qualifying as a small company for accounting and auditing purposes will be aligned and the company will only need to meet two of the conditions

The Web Incorporation Service

The online Web Incorporation service has been developed to enable the screen text and emails to be viewed in the Welsh language. The incorporation documents will only be available in English on the public record.
